Zhongji Innolight is pricing its Hong Kong listing at up to HK$1,010 a share this week, a 13.2 percent discount to where the stock closed in Shenzhen, targeting as much as $8 billion. That would make it the city's biggest share sale since Alibaba's $12.9 billion offering in 2019 (SCMP). Look, the number that actually matters here isn't the discount. It's the cornerstone book: 33 investors locked in $3.45 billion, about 49.1 percent of the base offering, before the deal even opened to the rest of the market. BlackRock, Temasek Holdings and the Canada Pension Plan Investment Board are named among them (SCMP). On June 8 the Pentagon added Innolight to what's formally called the Chinese military companies list, a Defense Department roster, not a Treasury sanctions list. The company says the listing changes nothing about customer orders, and has not caused customer order cancellations. The cornerstone book suggests three of the world's largest asset managers agree.
So why can BlackRock cornerstone a company the Pentagon flagged. Because the Defense Department's list and the actual investment bar are two different instruments. The Defense Department's Chinese military companies list only requires naming; it carries no divestment deadline of its own. The separate Treasury sanctions regime is the one a pension fund's sanctions compliance desk actually screens against before clearing a trade. Innolight isn't on that one (yet), which is why CPPIB's compliance desk can sign off on the allocation and mean it, not just find a loophole. Four days before Innolight priced, on July 24, HKEX cut the market-cap threshold for weighted-voting-right listings to HK$20 billion from HK$40 billion and opened confidential filing to every applicant, not just large issuers (Caixin Global, SCMP). That's not a coincidence of timing. It's HKEX's Listing Division building the on-ramp for the next mainland tech name sitting one regulatory list away from the same question.
The Chinese military companies list has stayed toothless in practice: naming without divestment. Whether that holds as the roster grows is unresolved. Innolight prices July 30. Watch whether any cornerstone name quietly disappears from the final allocation between now and then.
